Broadcom purchases division of digital TV of company AMD
Corporation Broadcom and company AMD have declared today that have come to the definitive agreement to sell of division of digital TV of company AMD.
It is expected, that this acquisition of division of digital TV of company AMD will allow corporation Broadcom to scale at once the business of digital TV and, having added range of existing production to offer a complete spectrum of production on all market segments of digital TV from inexpensive items to the most advanced interactive platforms and television processors. This acquisitionalso will expand the user base Broadcom of the first echelon including leading brands of world level in sphere of digital TV. The bargain is directed on expansion and strengthening of innovative offers Broadcom in the field of systems for digital TV, and also on finding of due scope and a concentration necessary for management of the advanced business of world level.
In connection with this bargain about 530 employees of the special division AMD attending to working out of production for digital TV, and also some employees attending to direct support of this division in six engineering centres worldwide, will be invited to work in Broadcom. The range of production AMD for digital TV includes integrated processors Xilleon ™ for digital TVs and ready platforms for systems of the digital TV, microcircuits NXT used in television receivers, processors Theater 300, and also a number of the television processors which are conducting indemnification of movement, transformation of frequency of a conclusion of shots and image scaling.
On terms of transaction Broadcom will pay about 192,8 million US dollars cash for assets AMD in the field of digital TV. The part of this sum, payable company AMD, will be transmitted on conditional deposition, according to conditions of the definitive agreement on purchase of assets. Boards of directors of each company have approved the bargain, and it is not required approval on the bargain from shareholders of each company. The conclusion of the transaction scheduled on the fourth quarter of fiscal year Broadcom, coming to an end on December, 31st, 2008, will pass under usual rules of end of bargains and will be checked up by representatives on it supervising bodies. Broadcom can receive single partial tax clearing for acquisition of not finished workings out and researches that quarter in which the bargain is finished. The size of this clearing is not defined yet.
